These terms govern your use of the board. The short version: you pay to rank, anyone can outpay you, and nothing is refundable. The long version follows and is what actually binds.

1. 1.Who these terms are between

   web3outbid is operated by Bloodbee Informatique et Conseil, registered at 67 quai Clémenceau, 69300, Caluire-et-Cuire, France under Siren 812290997 and Siret 81229099700038 ("we", "us"). By using the service you agree to these terms. If you do not agree, do not use the service.

2. 2.What the service is

   The service is a public leaderboard of links. Anyone may submit a URL together with a payment in USDC. The cumulative amount paid against a URL determines its position: the highest total ranks first. There is no editorial review, no voting, and no algorithm beyond that ordering.

   Paying for a position buys placement on the board and nothing else. It is not an investment, not a security, not an advertisement contract, and confers no ownership, revenue share, or continuing right of any kind.

3. 3.Eligibility

   You must be of legal age in your jurisdiction and legally permitted to transact in digital assets. You must not be located in, or acting on behalf of anyone in, a jurisdiction subject to sanctions that would make your use of the service unlawful. You are responsible for determining whether your use of the service is lawful where you are.

4. 4.Bids and payments

   Bids are denominated in whole US dollars and settled in USDC on a chain you select. A new listing starts at $5, subsequent bids on an existing listing start at $1, and no single payment may exceed $999,999.

   Each bid is assigned a unique payment amount that includes a small number of additional micro-units. That exact amount is what allows us to match an on-chain transfer to your bid. You must send precisely the amount your wallet is asked to send, in the requested token, to the requested address, on the requested chain.

   A payment is credited only after we observe a matching transfer on-chain. Sending a different amount, a different token, or using a different chain or address may make your payment impossible to identify and therefore impossible to credit.

5. 5.All payments are final

   Payments are transfers on public blockchains. They cannot be reversed by us. We do not offer refunds, cancellations, or chargebacks for any reason, including a change of mind, a listing being outbid, an error in the amount or destination you sent, or a listing later being removed under these terms.

   You bear the risk of your own transaction errors. Verify the amount, token, network, and destination address before you sign.

6. 6.Ranking and being outbid

   Bids against the same URL accumulate. Positions change whenever anyone pays more in total. Your position is never guaranteed, never reserved, and may be lost at any moment to another payer. Ties are resolved in favour of the listing that reached the total first.

   Submitted URLs are canonicalised before they are stored, so URLs that resolve to the same destination merge into a single listing. Your payment is credited to that merged listing.

7. 7.What you may not list

   You must not submit a URL pointing to content that is unlawful; that distributes malware or facilitates phishing, fraud, or theft of credentials or digital assets; that sexually exploits minors; that incites violence or hatred; that infringes another party's intellectual property; or that impersonates a person or organisation.

   You warrant that you have the right to submit the URL and the name you give it, and that doing so does not infringe anyone's rights.

8. 8.Removal without refund

   We may remove or delist any listing at any time, with or without notice, where we reasonably believe it breaches these terms or exposes us or our users to legal risk. Removal does not entitle you to a refund of any amount already paid.

   We may also decline to credit a payment associated with a listing we have removed.

9. 9.Blockchain risks you accept

   Blockchain networks are outside our control. Transactions may be delayed, may fail, may cost network fees that we do not set and do not receive, and once confirmed cannot be undone. Networks may fork, halt, or become congested. Stablecoins may depeg or be frozen by their issuer.

   Your wallet is yours. We never take custody of it, never hold your keys, and cannot recover funds sent in error or lost through a compromised wallet.

10. 10.No warranty

    The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

    We do not endorse, vet, or take responsibility for any listed site. A high position means someone paid for it, nothing more. Follow listed links at your own risk.

11. 11.Limitation of liability

    To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or exemplary damages, nor for lost profits, lost data, or loss of digital assets, arising out of or in connection with your use of the service.

    To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the service is limited to the total amount you paid to us in the three months preceding the event giving rise to the claim.

    Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

12. 12.Changes

    We may modify the service or these terms at any time. Material changes take effect when the updated terms are published on this page with a new effective date. Continuing to use the service after that constitutes acceptance. We may suspend or discontinue the service entirely; if we do, previously credited payments are not refunded.

13. 13.Governing law and disputes

    These terms are governed by the laws of France, without regard to conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of the courts of Lyon, France, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings elsewhere.
